1. Eligibility: The Straight Down $500 Gift Card Giveaway (“Campaign”) is open only to legal residents of the United States and the District of Columbia (excluding Puerto Rico and all U.S. territories and possessions) who are 18 years of age or older at the time of entry. Entries are limited to individuals only; commercial entities are not eligible. Employees of Straight Down Clothing Co. (“Straight Down”), its affiliates, subsidiaries, marketing and promotion agencies, and their immediate family members (spouse, parent, sibling, child) or persons living in the same household are not eligible to participate or win.
2. Agreement to Rules: By participating, entrants (“You”) agree to be fully and unconditionally bound by these Official Rules, and You represent and warrant that You meet the eligibility requirements. In addition, You agree to accept the decisions of Straight Down as final and binding in all matters related to this Campaign.
3. Campaign Period: Entries will be accepted starting on September 30, 2025 and ending on October 20, 2025 at 11:59 PM Pacific Time. The Sponsor’s computer is the official timekeeping device for the Campaign.
4. How to Enter: To enter, visit www.straightdown.com during the Campaign Period. Complete the giveaway form with a valid email address and mobile phone number to subscribe to promotional communications. Limit one (1) entry per person during the Campaign Period. Duplicate entries or entries through fraudulent means will be disqualified. Straight Down is not responsible for late, lost, delayed, corrupted, or misdirected entries due to system errors, internet failures, or any other technical malfunctions.
5. Marketing Communications Notice: By entering, you agree to receive marketing communications from Straight Down via email (you may unsubscribe at any time) and SMS. 6. Prize: One (1) winner will receive a $500 Straight Down digital gift card (“Prize”), redeemable at www.straightdown.com. The Prize is non-transferable, may not be resold, and no cash or other substitution will be permitted except at Straight Down’s sole discretion. Straight Down is responsible only for Prize delivery within the United States. The winner is solely responsible for all applicable federal, state, and local taxes and any other costs or expenses associated with Prize receipt or use. Estimated retail value: $500 USD. Acceptance of the Prize constitutes permission for Straight Down to use the winner’s name, likeness, and city/state of residence for purposes of advertising, promotion, and trade without further compensation, unless prohibited by law.
7. Odds: Odds of winning depend on the number of eligible entries received during the Campaign Period.
8. Winner Selection & Notification: The winner will be selected in a random drawing conducted by Straight Down on or about October 21, 2025. The winner will be notified via the email provided at entry within ten (10) business days. If the winner cannot be contacted, is ineligible, or fails to respond within thirty (10) days, an alternate winner may be selected. Straight Down may require winner verification including age and identity confirmation. Allow 6–8 weeks for prize delivery.
9. Rights Granted by Entrant: By entering, you grant Straight Down and its affiliates the right to use your name, city/state, and any statements about the giveaway in promotional materials, advertising, or social media — without additional compensation, where permitted by law.
10. General Terms & Conditions: Straight Down reserves the right to cancel, suspend, or modify the Campaign if fraud or any other factor impairs the integrity of the promotion. Straight Down may disqualify any entry for non-compliance with these rules or tampering with the entry process.
11. Limitation of Liability: By entering, you agree to release and hold harmless Straight Down, its subsidiaries, agents, and partners from any liability, claims, or damages resulting from entry in the Campaign, acceptance, possession, use, or misuse of the Prize, or any technical malfunctions or system failures.
12. Arbitration Agreement:
a. Agreement to Arbitrate – You and Straight Down agree to resolve any dispute or claim relating to this Campaign through final and binding arbitration rather than in court, except for qualifying claims in small claims court.
b. Individual Basis Only – You may only bring claims individually; not as part of a class action, collective action, or group proceeding.
c. Procedure – Arbitration shall be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. All hearings shall take place in a location reasonably convenient for both parties. Arbitration will be confidential, and any ruling may be enforceable in a court of law.
d. Costs – Straight Down will cover arbitration fees for claims under $75,000, or where necessary to prevent cost barriers. Attorney’s fees may be awarded only as permitted under AAA rules.
e. Governing Law – This Campaign is governed by the laws of the State of California without regard to conflict of law provisions.
